From a cellulite removal site:

Cellulite refers to a cosmetic effect - primarily in women - consisting of fat deposits which have a dimpled 'orange peel' appearance around the buttocks and thighs. As we age, tissues in certain parts of our body break down, particularly the layers of fat and connective tissues in thighs, buttocks and other affected areas.

90% of women, all shapes, sizes and ages, suffer from cellulite. Cellulite is the name given to the lumpy, irregular fatty deposits that appear as dimpled skin around women's hips, buttocks and thighs. Cellulite begins to form during puberty, but it's not always noticeable on younger women because their skin is more supple. Men don't usually have a problem with cellulite because their fat cells are a different shape. Their fat cells are stored differently as well.

There are many misconceptions about cellulite. Many believe that only overweight women have cellulite. This is not true; even very slim women can have deposits of cellulite on their buttocks, hip and thighs.

Hope that helps. A bunch of places try to hock products that will reduce the appearance of cellulite but in my experience if good old exercise doesn't do it, you're pretty much stuck with it. It's not so bad. ;)
